Terms of Service

The rules for using flips.cash. Non-custodial interface, on-chain risk, and what you agree to when you create an account.

These Terms of Service (“Terms”) are an agreement between you and Flips for use of flips.cash, docs.flips.cash, and related interfaces (the “Service”).

By creating an account, connecting a wallet, clicking through sign-in, or using the Service, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Service.

1. Who Flips is

Flips provides a non-custodial interface to public blockchains, currently focused on Robinhood Chain. We are not a broker-dealer, exchange that holds customer assets, bank, money transmitter in the sense of holding your funds, or investment adviser. Nothing on the Service is an offer of securities, a solicitation to buy or sell, or personalized advice.

2. Eligibility

You must be at least 18 years old and legally able to enter this agreement. You may not use the Service if doing so would violate law that applies to you, including sanctions and local rules on crypto-assets or tokenized equities.

You are responsible for knowing whether trading, bridging, or using stock tokens is lawful where you live. Settings may let you self-attest a region so we can hide features; that control is not legal clearance and does not make a restricted product available.

3. The Service

The Service shows market data, indexes on-chain activity, and lets you prepare and submit transactions that you sign.

  • Flips does not take custody of your private keys.
  • Embedded wallets created at login are generated and recovered through Privy. Recovery is Privy’s process, not a Flips seed-phrase PDF.
  • Quotes, safety grades, holder maps, and metadata can be wrong, late, or incomplete. They are reference, not a guarantee.

We may change, suspend, or discontinue any part of the Service without notice.

4. Accounts and wallets

You can create an account with email, Google, or a browser wallet. Email and Google create a trading wallet on login. A browser wallet can be linked later; swaps still run from a Flips trading wallet unless you change that path in the product.

You are responsible for:

  • Control of your email, Google account, devices, and wallets.
  • Every transaction you sign, including size, token, and destination.
  • Keeping access credentials out of other people’s hands.

We may refuse, limit, or close an account if we believe these Terms were broken, if law requires it, or if the Service is being abused.

Publishing a handle, thesis, or profile is optional. Content you publish must be yours to post and must not be unlawful or misleading. We may remove it from the interface. Removal from Flips does not remove it from the chain.

5. Third-party protocols and processors

Trades, mints, listings, bridges, on-ramps, and explorers run on third-party protocols and vendors (pools, launchpads, Relay, OpenSea, Privy, Blockscout, and others). Their terms and risks apply in addition to these Terms. Flips is not a party to those protocols and is not liable for their downtime, bugs, or economic design.

If a third-party flow asks you to sign a message or transaction, read it. Flips cannot undo a confirmed chain transaction.

6. Trading and on-chain risk

On-chain markets can go to zero. Smart contracts can be exploited. Tokens can be impersonated, taxed, paused, or untradeable. Stock tokens and other wrappers may be restricted or fail to track an off-chain asset. Bridging can strand funds. Network congestion and reorgs can delay or drop transactions.

You can lose the entire size. You will not be reimbursed by Flips because a trade went against you, a contract misbehaved, or you signed the wrong thing.

Gas on Robinhood Chain is paid in ETH on that chain. An empty trading wallet cannot send, even if you hold ETH elsewhere.

7. Fees

Token buys and sells through the Flips ticket include a 0.5% platform fee on the input you sign, plus venue fees (pool or curve) and chain gas. Bridge quotes may include a separate app fee when one is configured. Viewing markets is free.

The ticket is the source of the fee you are about to pay. If the fee recipient is unset, quotes refuse to send rather than skip the take silently.

8. Prohibited conduct

You will not:

  • Use the Service to violate law, evade sanctions, or launder value.
  • Attack, scrape at abusive volume, or interfere with the Service or its users.
  • Impersonate Flips, forge interface copy, or phish for keys or codes.
  • Use another person’s account or wallet without authority.
  • Attempt to extract private keys, bypass authentication, or exploit the interface.
  • Upload malware or content that is illegal in the places we operate.

We may throttle, block, or report activity that looks like this.

9. Intellectual property

Flips, the terminal UI, docs, and original content are owned by Flips or its licensors. You receive a limited, revocable, non-transferable license to use the Service for its intended purpose. You do not get a license to copy the product, reverse-engineer it except where law allows, or use our marks without permission.

You keep whatever rights you have in content you post. You grant Flips a worldwide, royalty-free license to host, display, and index that content in the Service.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLIPS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that data is accurate, that transactions will confirm, that the interface will be available, or that the Service is free of defects. Market information is not advice. See also the Disclaimer.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLIPS AND ITS OPERATORS, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOST DIGITAL ASSETS, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE PLATFORM FEES YOU PAID TO FLIPS IN THE THREE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS.

Some places do not allow certain limits. In those places, the limit applies to the fullest extent allowed.

12. Indemnity

You will defend and indemnify Flips against claims, losses, and expenses (including reasonable legal fees) that arise from your use of the Service, your transactions, your content, or your breach of these Terms.

13. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access immediately if we believe it is necessary to protect the Service, other users, or to follow the law. Sections that should survive (including 6, 9–12, and 14) survive termination. Termination does not affect tokens sitting in wallets you control.

14. Changes

We may update these Terms by posting a new version and changing the date above. Continued use after the update is acceptance. If you do not agree, stop using the Service.

Governing law and a dispute forum are not set in this version. We will add them when a jurisdiction is chosen. Until then, nothing in these Terms is a waiver of rights you already have under the law that applies to you.
